Executives

Upon hiring, executives may need advice as they negotiate their employment contracts.  Clear expectations, backed by clear and legally enforceable employment agreements, make the relationship between executive and business more rational, predictable and stable.  We advise executives in these negotiations.

Pre-employment issues that require legal advice will arise throughout an executive's employment, and often arise again at the conclusion of the employment.  These issues include: compensation, incentives, reasons for termination, payments after termination and post-termination covenants against competition and use of information.  We advise, negotiate, and litigate for terminated executives.

During employment, executives may need advice from a source other than the company's lawyers concerning questionable behavior by other executives, and frank advice concerning their own potential civil and criminal liability.  We advise executives facing difficult issues.

Sales personnel

Sales compensation is usually commission driven. Disputes over calculations, triggers, allocations, documentation and accounting for sales commissions are common.  Timing issues become critical upon termination of sales personnel.  We advise, negotiate and litigate for terminated sales professionals.

Under an Alabama statute, called the Sales Representative's Commission Contracts Act,  some sales representatives, including corporations,  have the benefit of a law that permits a judge and jury to award  treble damages and attorneys fees for breach of an agreement to pay sales commissions.  The Act also regulates the timing of commission payments.  An important provision of the Act prohibits its waiver by agreement or by agreed application of the law of another state.
